The Oregon Electric Railway was incorporated under the general laws of the State of Oregon on May 15, 1906, by Thomas Scott Brooke, H. S. Corbett and R. W. Lewis, with capital stock of $2,500,000. The purpose of the corporation was to construct or otherwise acquire a line of railroad from Portland through Salem, the capitol of the state, to Roseburg, Oregon, with various branches.

The articles of incorporation were amended on April 22, 1908, to provide for an increase of capital stock to 100,000 shares, half to be Preferred stock at $100 per share. Again, on October 15, 1909, amended to allow for the issuance of 4000 shares of Deferred stock, par value $100 per share.

There were 11 Stock Books in the Archives. We acquired the first one in March of 2006, and a long-time customer of ours approached us to act as agent of the sale of the other 10 in May. Subsequently a sale was made, and we took this opportunity to document the contents of all 11 stock books. As part of the deal struck, we acquired a number of each variety, in both issued and unissued form, and are offering them for sale here.

Oregon Electric Railway Capital Stock, the first stock issue of the OERy, commenced on June 29, 1906 and ended on January 19, 1910, with certificate #37.

The book held 100 certificates originally, #99 having been attached to a document mentioned in corporate minutes, and #100 having been sent to R. Burnham Moffat, their representative on Wall Street, in New York City.

When we surveyed this book, it contained 23 certificates which had been issued and cancelled, one marked "Spoiled", and 39 unissued pieces.

Oregon Electric Railway Common Stock, issued from May of 1910 to January of 1968. This was a very interesting book to go through, as #C27 documented the sale of the vast majority of OERy ownership (19,475 shares) to the Spokane, Portland and Seattle Railway Company, and there were also a few other certificates with high share amounts, the majority of all the certificates having been for only one to five shares.

We will break these into different time periods, as there is a long time span represented in the certificates from this book. At the time of our survey, the first issued certificate present was #C3, May 1910; the last piece issued in 1910 was #C18, June 7, 1910. There were 14 Issued & Cancelled pieces present in this section. Of these, 4 were for very high share amounts.

Then we find 8 pieces Unissued & Cancelled, having been "signed by old officers" and cancelled by the Transfer Agent.

Number C27 is for 19,475 shares, made out to the SP&S, dated 1911. Numbers C29 through C44 range from 1911 through 1919; all present and all for 1 share each.

Number C49 is dated 1924; # C50 was cancelled as "spoiled"; C51 through C69 range from 1927 to 1939; C70 is dated 1940; C71, 1950; C72, 1951; C73, 1958; C74 & C75, 1967; C76, 1968. Total issued pieces present: 61; Unissued & Cancelled: 9; Unissued, not cancelled: about 120.

Oregon Electric Railway Common Shares, Temporary Certificate, numbered from 251 to 500. Prepared according to an agreement dated January 3, 1910, by the Columbia Trust Company, the NYC agent for the OERy at that time.

According to the stubs in the book, there were never any certificates issued from this book. Numbers 257 through 500 were present at survey, with the exception of 301 through 305 and 412 through 416; 235 pieces total, all unissued and not cancelled.
